    Метою статті є висвітлення особливостей суб’єктного складу корпоративних договорів. Проведений аналіз суб’єктного складу сторін корпоративного договору, що може укладатися в товариствах з обмеженою та додатковою відповідальністю, а також в акціонерних товариствах, проаналізовано проєкт закону про акціонерні товариства. Висвітлені теоретичні та практичні проблеми укладення корпоративних договорів різними суб’єктами. Висловлена позиція щодо доцільності законодавчого закріплення широкого кола суб’єктів корпоративного договору та визначення специфіки предмета договору, обсягу прав таких суб’єктів. The purpose of the article is to highlight the features of the subject matter of corporate agreements. Thus, the article analyzes the subjective composition of the parties to the corporate agreement, which may be concluded in limited liability companies and subsidiaries, as well as in joint stock companies, and analyzes the draft Law on Joint Stock Companies. The theoretical and practical problems of entering into corporate agreements by different entities are covered. The position was expressed on the expediency of legislative enshrining of a wide range of subjects of a corporate contract and determining the specifics of the subject of the contract, and the scope of the rights of such entities.
